1. Acceptance of Terms By accessing our website (nexusapps.site) or engaging NexusApps for software engineering, digital consulting, or related services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

3. Description of Services NexusApps provides professional software engineering services, including digital consulting, UI/UX strategy, custom application development, backend architecture, and enterprise system engineering. The specific scope, deliverables, and timelines for any project will be outlined in a separate written agreement or statement of work prior to the commencement of services.

4. Payment Terms Our service collections (such as Essential, Professional, and Advanced tiers) are priced in Euros (€) and exclude VAT unless otherwise stated. Payment schedules, including any required upfront deposits or milestone payments, will be detailed in your specific project contract. Invoices are generally payable within 14 days of receipt, in accordance with German commercial practices, unless explicitly agreed otherwise.

5. Client Responsibilities To ensure the successful delivery of our services, you agree to provide timely feedback, necessary access to systems or credentials, and accurate information regarding your project requirements. Delays in providing required materials may result in adjustments to project timelines.

6. Intellectual Property Unless otherwise agreed in writing, NexusApps retains all intellectual property rights to pre-existing code, libraries, and frameworks used during development. Upon full payment of all associated fees, you will be granted a license or full ownership rights to the custom deliverables as specified in your individual project contract.

7. Limitation of Liability To the maximum extent permitted by German law, NexusApps shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from the use of our services or website. Our total liability in any matter related to a specific project shall not exceed the total fees paid by you for that specific project.

8. Warranties and Support We strive to deliver high-quality, robust digital solutions. Certain service tiers (such as the Professional tier) include a specific launch support period (e.g., 30-Day Launch Support). Outside of these expressly agreed periods, ongoing maintenance, bug fixes, or updates may require a separate maintenance agreement.

9. Termination Either party may terminate a project agreement with written notice if the other party breaches a material term of the agreement and fails to cure such breach within a reasonable timeframe. Upon termination, you are responsible for paying for all work completed up to the date of termination.

10. Governing Law and Jurisdiction These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts in Ludwigshafen am Rhein, Germany.

11. Changes to Terms We reserve the right to update or modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any such changes constitutes your acceptance of the new Terms of Service.
